1. Introduction and Acceptance

Welcome to BeeMetrics. These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and BeeMetrics LLC ("BeeMetrics", "we", "our", "us"), a Wyoming limited liability company, governing your access to and use of the BeeMetrics platform, including our website at beemetrics.app, APIs, and any related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you as an individual and the entity.

2. Description of Service

BeeMetrics is a business intelligence platform designed for e-commerce merchants. Our Service provides:

• Unified dashboards aggregating data from multiple e-commerce and marketing platforms
• Profitability tracking and true margin calculations
• Marketing attribution and advertising performance analysis
• Actionable recommendations and insights
• First-party tracking pixel for attribution
• Integration with Shopify, Meta Ads, Google Ads, TikTok Ads, Klaviyo, and other platforms

The Service is intended for business use by e-commerce merchants and is not intended for personal, family, or household purposes.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Accept these Terms and our Privacy Policy

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that your use of the Service complies with all applicable laws

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

3.3 Team Access

If you invite team members to access your account, you are responsible for their compliance with these Terms. You remain liable for all actions taken by team members under your account.

4. Subscription, Pricing, and Payment

4.1 Subscription Plans

BeeMetrics offers various subscription plans with different features and pricing tiers. Current pricing is available on our website. We may offer:

• Free trial period (14 days, no credit card required)
• Monthly subscription plans
• Annual subscription plans (with discount)

4.2 Billing

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• All prices are listed in US Dollars (USD)
• Payment is processed through Stripe, our third-party payment processor
• You authorize us to charge your payment method for all fees due
• Sales tax or VAT may be added where applicable based on your location

4.3 Price Changes

We may modify our pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to the price change, you may cancel your subscription before the change takes effect.

4.4 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds or credits at our sole discretion, particularly in cases of:

• Service unavailability due to our fault for extended periods
• Billing errors
• Cancellation within 7 days of annual plan renewal (pro-rated)

4.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, we may suspend your access to the Service until payment is received. We will notify you before any suspension.

5. Free Trial

We may offer a free trial period for new users. During the free trial:

• You will have access to the Service features as described
• No payment information is required to start the trial
• At the end of the trial, you must subscribe to a paid plan to continue using the Service
• We reserve the right to modify or discontinue the free trial at any time
• Free trials are limited to one per person or organization

6. Data Ownership and Your Content

6.1 Your Data

You retain all rights to your data. "Your Data" includes all data you provide to us, data imported from connected platforms on your behalf, and data generated from your use of the Service (e.g., cost inputs, targets, ad tags).

6.2 License to BeeMetrics

You grant BeeMetrics a limited, non-exclusive, worldwide license to use, process, store, and display Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.

6.3 Aggregated and Anonymized Data

We may create aggregated, anonymized data derived from Your Data that cannot reasonably identify you or your business. We may use such anonymized data for any lawful purpose, including improving our Service, benchmarking, and research.

6.4 Data Export

You may export Your Data at any time through the Service or by contacting support. Upon account termination, you will have 30 days to export Your Data before it is deleted.

7. Third-Party Integrations

The Service integrates with third-party platforms including Shopify, Meta, Google, TikTok, and Klaviyo. When you connect these platforms:

• You grant us permission to access data from those platforms on your behalf
• You represent that you have the authority to grant such access
• You are responsible for complying with those platforms' terms of service
• We are not responsible for the availability, accuracy, or functionality of third-party platforms
• You can disconnect any integration at any time through your account settings

We do not guarantee compatibility with all versions or features of third-party platforms. Changes to third-party APIs may affect the functionality of our integrations.

8. BeeMetrics Pixel

If you choose to install the BeeMetrics pixel on your e-commerce store:

• You are responsible for updating your store's privacy policy to disclose the use of the pixel
• You must comply with all applicable laws regarding website tracking and cookies
• The pixel collects anonymous behavioral data and does not collect personally identifiable information
• You can remove the pixel at any time from your store's settings

9. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to any part of the Service
• Interfere with, disrupt, or overload the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, viruses, or harmful code
• Scrape, crawl, or use automated means to access the Service without permission
• Resell, sublicense, or redistribute the Service without authorization
• Share your account credentials with unauthorized third parties
• Use the Service to compete directly with BeeMetrics
• Misrepresent your identity or affiliation

We reserve the right to suspend or terminate your account for violations of this policy.

10. Intellectual Property

10.1 BeeMetrics IP

The Service, including all software, algorithms, designs, text, graphics, logos, and other content created by BeeMetrics, is owned by BeeMetrics and protected by intellectual property laws. You receive only a limited license to use the Service as described in these Terms.

10.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback into our products and services without any obligation to you.

10.3 Trademarks

"BeeMetrics" and our logos are trademarks of BeeMetrics LLC. You may not use our trademarks without prior written consent, except to accurately identify our Service.

11. Service Availability

We strive to maintain high availability of the Service. However:

• We do not guarantee uninterrupted, error-free, or secure access to the Service
• The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control
• We will make reasonable efforts to provide advance notice of scheduled maintenance
• Third-party platform outages may affect the functionality of our integrations

For enterprise customers, custom service level agreements (SLAs) may be available upon request.

You agree to indemnify, defend, and hold harmless BeeMetrics and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Data or content you provide through the Service
• Your use of connected third-party platforms

15. Termination

15.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.

15.2 Termination by BeeMetrics

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach any provision of these Terms
• You fail to pay applicable fees
• We are required to do so by law
• We reasonably believe your account poses a security risk
• We discontinue the Service (with reasonable notice)

15.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• You will have 30 days to export Your Data
• We will delete Your Data in accordance with our Privacy Policy
• Sections that by their nature should survive termination will survive (including IP, limitation of liability, indemnification, and dispute resolution)

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at support@beemetrics.io and attempt to resolve the dispute informally for at least 30 days.

16.2 Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Sheridan, Wyoming, USA.

16.3 Class Action Waiver

YOU AND BEEMETRICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

18. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website with a new "Last updated" date
• Sending an email notification to your registered email address
• Displaying a notice in the Service

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeeMetrics regarding the Service and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without your consent in connection with a merger, acquisition, or sale of all or substantially all of our assets.

19.5 Force Majeure

BeeMetrics shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, labor disputes, or failures of third-party services.

19.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and BeeMetrics.
